Grapefruit Health Terms of Use and Privacy Policy

Grapefruit Health, Inc. and its affiliates ("Grapefruit Health," "we" or "us") provide online services and technology, including the Grapefruit Health website (the “Website”), widgets, computer programs and applications developed and/or hosted by or on behalf of Grapefruit Health (collectively, the "Grapefruit Health Services") intended to enhance patient engagement and improve patient outreach efforts.  For example, if you are a patient, an independent student nurse or other clinician (“Student Patient Partner”) may contact you by phone for screening or other purposes, as directed by your health care provider.  In addition, if you are a Student Patient Partner or other student clinician, Grapefruit Health is pleased to offer you, if you elect to participate, certain services intended to help facilitate your entry-level career efforts (“Career Services”); please see the Career Services section below.  Career Services are part of Grapefruit Health Services.

THIS IS A LEGAL AGREEMENT BETWEEN YOU AND GRAPEFRUIT HEALTH, INC. AND GOVERNS YOUR USE OF THE GRAPEFRUIT HEALTH SERVICES. If you are outside the United States, you may not use or access the Grapefruit Health Services.

By using this Website or any other Grapefruit Health Service, you are agreeing to these Terms of Use and the Privacy Policy (together, the "Terms").  You can stop using the Grapefruit Health Services at any time, just as we can deny use to anyone at any time. 

You agree and consent to allow Grapefruit Health to communicate with you electronically regarding the Grapefruit Health Services.

License

Subject to your compliance with the Terms, Grapefruit Health hereby grants you a limited, non-exclusive, revocable license to access and use the Grapefruit Health Services as set forth herein. 

Changes to the Terms and Grapefruit Health Services

We may make changes to these Terms from time to time. A link to the most current Terms will be available on the Grapefruit Health home page and we will indicate the date of the "Latest Update" at the top of the Terms. We may also place a special notice on the Grapefruit Health Services or communicate significant changes by email. By continuing to use the Grapefruit Health Services after we post such changes, you are agreeing to any such changes.  You are responsible for being aware of changes and so we recommend you check these Terms periodically.

Grapefruit Health may change or discontinue, temporarily or permanently, any feature or component of the Grapefruit Health Services at any time without further notice. In addition, we may, without notice, terminate individual accounts that have been inactive for more than 30 days, but have no obligation to do so. You agree that Grapefruit Health shall not be liable to you or to any third party for any termination, modification, suspension or discontinuance of any feature or component of the Grapefruit Health Services. 

Requirements for Use of the Grapefruit Health Services

The Grapefruit Health Services are only available for individuals aged 18 years or older; minor patients may participate through their parent(s) and/or guardian(s). 

You must have a mobile or land line phone in order to participate in the Grapefruit Health Services, and you must have internet access to access and use the Website, including any Career Services. 

Full use of the Grapefruit Health Services: (a) requires a mobile or land line phone, an email address, and certain software; (b) internet access; (c) may require periodic updates; and (d) may be affected by the performance of these factors. The Grapefruit Health Services is not a guaranteed part of any health system, third party product or service offering, and no purchase or obtaining of any third party product or service shall be construed to represent or guarantee you access to the Grapefruit Health Services. Use of Grapefruit Health Services may result in any applicable messaging charges that your mobile device carrier charges. Grapefruit Health is not responsible for these charges. 

Agency 

You represent that you are using the Grapefruit Health Services for its intended purpose. If you are registering or using the Grapefruit Health Services on behalf of a company or other organization, you represent that you have authority to bind your employer by your actions. 

Information Provided By or Through Grapefruit Health Services 

We try to provide helpful and accurate information on the Grapefruit Health Services, but we make no endorsement, representation or warranty of any kind about any information, services or recommendations made available through the Website or otherwise through the Grapefruit Health Services (together, the “Content’). We are not responsible for the accuracy, reliability, effectiveness, or correct use of Content or any other information you receive through the Grapefruit Health Services. If you rely on any Content or other information provided by Grapefruit Health, Student Patient Partners, Grapefruit Health employees, or others appearing on or contributing Content, you do so solely at your own risk. 

Precautions 

IF YOU THINK YOU MAY HAVE A MEDICAL EMERGENCY, CALL YOUR PHYSICIAN OR 911 IMMEDIATELY. IF YOU FEEL DISCOMFORT OR PAIN, IMMEDIATELY STOP THE ACTIVITY CAUSING SUCH DISCOMFORT OR PAIN.

Content found on the Website, or through the Grapefruit Health Services is for informational purposes only and is not intended to replace the relationship between you and your physician or other medical provider. Neither Grapefruit Health or any Student Patient Partner is a licensed medical care provider and neither have expertise in diagnosing, examining, or treating medical conditions of any kind. You should always consult your health care provider if you have any questions regarding your health or a medical condition. Never disregard professional medical advice or delay in seeking it because of something you have been told by a Student Patient Partner or have read on or through the Grapefruit Health Services. 

You agree that you are participating in the Grapefruit Health Services at your own risk. 

User-Generated Content 

The Grapefruit Health Services may contain public features such as message boards, forums, bulletin boards, user comments, and other interactive features (collectively, “Interactive Services”) that allow you to publicly post, submit, publish, display or transmit content, including text, photographs, and other data (“User Generated Content”). You hereby grant to Grapefruit Health a perpetual, irrevocable, non-exclusive, worldwide, royalty-free license, with the right to sublicense, to reproduce, distribute, transmit, publicly perform, publicly display, digitally perform, modify, create derivative works of, and otherwise use and commercially exploit User Generated Content you submit to the Interactive Services in any media now existing or hereafter developed, including without limitation on websites, in audio format, and in any print media format. "User Generated Content" includes but is not limited to content posted on message board posts, blogs, journals, and user comments. You hereby waive any rights of publicity and privacy with respect to the User Generated Content and any other legal or moral rights that might preclude Grapefruit Health's use of the User Generated Content or require your permission for Grapefruit Health to use the User Generated Content. You agree not to assert any claim, whether based on tort, contract, or other legal theory, against Grapefruit Health or its sublicensees relating to Grapefruit Health's or its sublicensees' use of the User Generated Content in accordance with your privacy settings, and you hereby release Grapefruit Health and its sublicensees from any such claims. You represent that your User Generated Content: (1) will not infringe any third party's copyright, patent, trademark, trade secret or other proprietary rights; (2) will not violate any law, statute, ordinance or regulation; (3) will not be obscene or contain child pornography; (4) will not contain any viruses, worms, time bombs or other computer programming code that is intended to damage, detrimentally interfere with, surreptitiously intercept or expropriate any system, data or information; (5) will not violate any third party's rights of publicity or privacy; and (6) will not be defamatory, unlawfully threatening or harassing, harmful to third parties in any way, or otherwise offensive or inappropriate. You are responsible for complying with all laws applicable to your User Generated Content. 

If you are a clinical student participating in Career Services (“Job Searcher”), and you complete the Student Profile, information you provide in your Student Profile (“Student Profile Information”) is not User Generated Content, for the purposes of these Terms.  Please see the Career Services section below for further information.

We caution you to be careful in the information you disclose in any User Generated Content. YOU ACKNOWLEDGE THAT ANY MEDICAL OR HEALTH INFORMATION YOU DISCLOSE IN USER GENERATED CONTENT IS NOT “PROTECTED HEALTH INFORMATION”.  Grapefruit Health is not responsible for the acts of any other party with respect to the use, inability to use or misuse of any User Generated Content.  

Registration and Password 

You do not need to register in order to access the Website, but registration may be required to access and use other Grapefruit Health Services, such as the Career Services.  If you register to create an account with Grapefruit Health, you are responsible for maintaining the confidentiality of your login information and password. You shall be responsible for all uses of your login information, whether or not authorized by you. You agree to immediately notify us of any unauthorized use of your login information or password. Grapefruit Health cannot and does not assume any responsibility or liability for any information submitted by someone who has fraudulently accessed your Grapefruit Health account or for any third party's fraudulent use or misuse of information submitted by you. 

You represent that the information that you provide about yourself as requested in the Grapefruit Health account registration form (the "Registration Data"), including any information you provide as part of the Career Services, if applicable, is accurate and complete, and you agree to update your account information, as necessary, including providing Grapefruit Health with your current email address, so that you may receive notifications and other account-related communications. Your submittal of your email address and/or mobile phone number is your consent for Grapefruit Health to send you electronic information, emails and/or texts messages, about the Grapefruit Health Services you are or could be receiving. You may opt out of receiving certain emails and/or texts by following the prompts in such messages.

Privacy Policy 

The Grapefruit Health Services are subject to the Grapefruit Health Privacy Policy, which can be found at https://www.grapefruit.health/privacy-policy. 

No Payment Required

The Grapefruit Health Services are provided at no cost to Website users, Student Patient Partners, individuals being contacted by Student Patient Partners, and Job Searchers.  

Term

These Terms will remain in full force for as long as you are using the Website and/or other Grapefruit Health Services and/or are a registered user.  You may stop using the Website or other Grapefruit Health Services and/or de-activate your account at any time for any reason.  Grapefruit Health may terminate the Grapefruit Health Services and/or terminate your access to and use of the Website and/or the Grapefruit Health Services at any time for any reason.  You understand that any termination of your account may result in the deletion of any User Generated Content you may have provided; however, Grapefruit Health may retain a copy of any such User Generated Content or other content and/or any information associated with your account in accordance with applicable laws.  You agree that we are not liable to you or any other party for any termination or suspension of the Website or other Grapefruit Health Service, or for the termination or suspension of your access to any of the foregoing, or for the deletion of any User Generated Content, other content or other information.

Career Services

Grapefruit Health is pleased to offer Career Services to Job Searchers to assist in certain job-search related efforts.  Career Services may include, now or in the future, any of the following: providing the Student Profile Information of Job Searchers to employers or recruiters who may be interested in Job Searcher candidates generally or for specific job openings; providing employers or recruiters with access to and use Student Profile Information of all Job Searchers in order for those entities to identify individuals who may be of interest to them; providing Job Searchers with access to and use of a job search board; and/or placement services.  Not all of these are available right now and Grapefruit Health does not promise to make any particular service, feature or functionality available in the future or to retain or continue to make available any service, feature or functionality.

Participation in Career Services is optional and your participation, or decision not to participate, does not affect your use or access of any other Grapefruit Health Services.  Career Services is offered to Job Searchers solely as a supplemental tool that may assist you in your job search efforts; Grapefruit Health encourages you to use any other avenues you may have, in addition to the Career Services, to enhance your job search.

If you do elect to participate in Career Services, the following terms will apply (“Career Services Terms”); the Career Services Terms govern, solely with respect to the Career Services, in the event of any conflict or ambiguity between the Career Services Terms and any other terms or conditions in these Terms of Use or Privacy Policy. These Career Services Terms apply to all Job Searchers, including those who provide Student Profile Information on or after June 25th, 2024 and/or those who previously provided Student Profile Information and elect to participate in the Career Services on or after June 25th, 2024.  

  • You agree to provide accurate and complete Student Profile Information and to update such information as necessary to make sure it is always current.

  • If you add your resume/curriculum vitae to your Student Profile Information, you consent to Grapefruit Health parsing into another format, matching your skills/certifications or certain keywords to the skills/certifications or keywords of employers or recruiters.

  • You represent and warrant that you have sufficient rights to provide the Student Profile Information to Grapefruit Health and to grant the licenses described herein.

  • You agree to provide Student Profile Information only for yourself and further agree not to create or provide any Student Profile Information for, on behalf of, or related to any other person.

  • You agree to receive job-related email and/or text messages from Grapefruit Health, unless and until you opt-out of receiving such emails and/or texts.

  • You consent to our providing your Student Profile Information to entities who are or may be interested in candidates like you.

  • You grant us a perpetual, irrevocable, non-exclusive, royalty-free, sublicensable, license and right to share, distribute, display, create derivative works and/or otherwise use or not use your Student Profile Information, in whole or in part, as we reasonably determine in order to provide the Career Services to you, other Job Searchers, recruiters, employers and potential employers.

  • Your Student Profile Information, regardless of when submitted to Grapefruit Health, will be secured, used and disclosed by us as described in the Privacy Policy that is in effect as of June 25th, 2024, as may be revised thereafter.

  • You may end your participation in the Career Services at any time; unless otherwise indicated in the Privacy Policy, your license granted herein to use your Student Profile Information will continue, even if you end your participation, delete your account or are no longer actively seeking job opportunities for any reason.

  • You understand that in providing the Career Services, Grapefruit Health is not an employer, recruiter or your agent.  

  • You understand and acknowledge that if you access any employer, recruiter or other third party through a link or other method which may be available as part of Career Services, you will be leaving the Website and Career Services and be subject to the policies and procedures of such employer, recruiter or other third party.  Grapefruit Health is not responsible for any contact, communications or other interactions between you and any employer, potential employer, recruiter or any other third party.  Please be careful with whom you interact; never provide your social security number, credit card/banking/financial information or other private personal information to strangers and be aware of potential scams.  A LEGITIMATE JOB OPPORTUNITY, EMPLOYER OR RECRUITER WILL NEVER REQUIRE OR REQUEST YOU TO PAY ANY MONEY OR FEES, WHETHER IN CASH, ELECTRONIC PAYMENTS OR GIFT CARDS.  You are in control of the information you provide to any employer, recruiter or other third party; do not provide any information that you are not comfortable providing.  Do not respond to any communication if you are concerned it might be a scam; contact Grapefruit Health at info@grapefruit.health with your concerns.

  • Grapefruit Health does not monitor, screen or evaluate any job opportunities or listings, employers, recruiters, or the terms of such opportunities or listings.  You are solely responsible for determining if any job opportunity or listing is applicable or of interest to you, and/or for applying (or not) to any such opportunities.  This means that although Grapefruit Health will use reasonable efforts to provide valid information as part of the Career Services, Grapefruit Health does not and cannot authenticate the identity of any user or job opportunity and is not responsible for the accuracy, legality or legitimacy of any job opportunity, listing, employer or recruiter, including whether or not any employer or recruiter has any job openings or is able to fill any job openings.  Grapefruit Health may, but is not obligated, to remove any job opportunity, listing, employer or recruiter at any time; Grapefruit Health disclaims all liability for any failure or delay in so removing.

  • Grapefruit Health does not guarantee or warrant that your use of the Career Services will result in a job suitable to you or in any job offer at all.  Without limiting the foregoing, Grapefruit Health does not guarantee, warrant and or promise any specific results from your participation in the Career Services. No advice or information, whether oral or written, obtained through the Career Services will create any such guarantee, warranty or promise. 

  • You further acknowledge that Grapefruit Health does not and cannot prevent your current employer, or any past or future employer, from knowing that you are participating in the Career Services.

Ownership of the Grapefruit Health Services 

Except for the User Generated Content, the Website, Grapefruit Health Services and all aspects thereof, including all copyrights, trademarks, and other intellectual property rights therein, are owned by Grapefruit Health or its licensors. You acknowledge that the Website, Grapefruit Health Services and any underlying technology used in connection with either contain Grapefruit Health's intellectual property and proprietary information. You may not reproduce, distribute, host, modify or create derivative works of, publicly display (including by framing any content), or commercially exploit any part of the Grapefruit Health Services (including, without limitation any videos contained in the Grapefruit Health Services) except as necessary to view the content therein and to create a reasonable number of copies of portions of such content (without modification) for your personal, non-commercial use. All rights in the Grapefruit Health Services not expressly granted to you by Grapefruit Health are retained by Grapefruit Health and its licensors. 

In addition to the foregoing, you agree that you will not, and will not permit any other party to:

  • Use the Website or other Grapefruit Health Services in any manner not expressly authorized in these Terms or in any unlawful manner;

  • Share the Grapefruit Health Services with third parties;

  • Interfere with, interrupt, or otherwise disable or disturb, or attempt to disable or disturb, any portion of the Website or other Grapefruit Health Services;

  • Post, distribute, copy or otherwise use any content in a manner that infringes on any third party's copyright, patent, trademark, trade secret or other proprietary rights; or that is obscene or contains child pornography; or that is defamatory, unlawfully threatening, harassing, harmful, or otherwise offensive or inappropriate;

  • Violate any law, rule or regulation in your use of the Website and/or other Grapefruit Health Services; 

  • Transmit to Grapefruit Health any viruses, worms, time bombs or other computer programming code that is intended to damage, detrimentally interfere with, surreptitiously intercept or expropriate any system, data or information;

  • Use any manual or automatic device, programming or robot to obtain any data, or copy or avoid the structure or display of the Website or any of its contents;

  • Frame, mirror, forge headers, use meta tags or similar devices, or otherwise attempt to disguise any information, reference Grapefruit Health or direct any user to any other website for any purpose;

  • Circumvent or attempt to circumvent any security measures that are part of or used in conjunction with the Website and/or other Grapefruit Health Services; and/or

  • Use the Website and/or other Grapefruit Health Services in any manner deemed unacceptable to Grapefruit Health.

If you violate any of the Terms, your license to use the Grapefruit Health Services automatically terminates and you must immediately destroy any copies you have made of any portion of the Grapefruit Health Services. In addition, your access or use of the Career Services, if applicable, shall terminate.

Copyrighted Materials and Digital Millennium Copyright Act Notice 

You agree that any materials posted by you shall not infringe or violate the rights of any other party or violate any laws, contribute to or encourage infringing or otherwise unlawful conduct, or otherwise be obscene, objectionable, or in poor taste. You also agree that you have obtained all necessary rights and licenses required to allow the posting of any content posted by you. 

If you believe that your copyrighted work has been copied in a way that constitutes copyright infringement and is accessible on the Site, please notify Grapefruit Health’s copyright agent, as set forth in the Digital Millennium Copyright Act of 1998 (DMCA). For your complaint to be valid under the DMCA, you must provide the following information in writing:

 

1. An electronic or physical signature of a person authorized to act on behalf of the copyright owner;

2. Identification of the copyrighted work that you claim is being infringed;

3. Identification of the material that is claimed to be infringing and where it is located on the Site;

4. Information reasonably sufficient to permit eHarmony to contact you, such as your address, telephone number, and e-mail address;

5. A statement that you have a good faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent, or law; and

6. A statement, made under penalty of perjury, that the above information is accurate, and that you are the copyright owner or are authorized to act on behalf of the owner.

 

The above information must be submitted to info@grapefruit.health.  Please note that only DMCA notices will be accepted at this email address. All other inquiries or requests will be discarded.

Indemnification 

Upon request by us, you agree to defend, indemnify and hold Grapefruit Health and its partners, affiliates, service providers, licensors, officers, directors, employees and agents harmless from and against any and all losses, liabilities, damages and costs, including but not limited to reasonable legal and accounting fees, arising from any claims, actions or demands related to or alleged to relate to: (a) your use of the Grapefruit Health Services, including any User Generated Content or other content you post, store, reproduce, display, or distribute via the Grapefruit Health Services; (b) your violation of these Terms; or (c) your violation of any intellectual property or other third party rights or any applicable law in connection with your use of the Grapefruit Health Services. We reserve the right to assume control of the defense of any third party claim that is subject to indemnification by you, in which event you will cooperate with us in asserting any available defenses. 

User Conduct 

If we determine that any user is not using the Grapefruit Health Services responsibly, we have the right (but not the obligation) to remove, edit, block, or delete such user's transmissions, User Generated Content, or use of the Grapefruit Health Services. We also have the right (but not the obligation) to suspend or terminate your access to and use of Website or other parts of the Grapefruit Health Services, or delete information you have posted to the Grapefruit Health Services, without prior notice, if you engage in any conduct that we believe, in our sole discretion: (a) violates any provision of these Terms; (b) is offensive to other users; (c) violates the rights of Grapefruit Health or third parties, or (d) could cause Grapefruit Health liability. Without limiting the foregoing, upon any termination of your account or access to the Grapefruit Health Services we may delete all User Generated Content and other information associated with your account. If Grapefruit Health suspects that your Registration Data is inaccurate or incomplete, we may suspend or terminate your account. 

Third Party Services 

The Website and/or other Grapefruit Health Services may provide links or references to websites operated by third parties. We do not monitor or investigate such websites and we are not responsible for the content, functionality, or practices of such websites. Inclusion of links to third party websites on our Grapefruit Health Services does not imply approval or endorsement of the linked website by us. If you decide to leave the Website and access these third party websites, you do so at your own risk. Grapefruit Health suggests that you read the terms of use and privacy policies (if any) on those third party websites. You agree that Grapefruit Health has no liability for any damage or loss of any type that is a result of your use, misuse or inability to use a third party website. 

Disclaimer 

THE WEBSITE AND OTHER GRAPEFRUIT HEALTH SERVICES AND/OR ANY CONTENT OF EITHER ARE PROVIDED BY GRAPEFRUIT HEALTH AND ITS AFFILIATES "AS IS." NO STUDENT PATIENT PARTNER, GRAPEFRUIT HEALTH NOR ANY ITS PARTNERS, SUPPLIERS, OR AFFILIATES MAKE ANY REPRESENTATIONS OR WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, AS TO THE OPERATION OF THE WEBSITE OR WITH RESPECT TO ANY OTHER GRAPEFRUIT HEALTH SERVICES. IN ADDITION, GRAPEFRUIT HEALTH AND ITS PARTNERS DISCLAIM ALL WARRANTIES WITH RESPECT TO THE WEBSITE AND OTHER GRAPEFRUIT HEALTH SERVICES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, TITLE, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. FURTHERMORE, GRAPEFRUIT HEALTH DOES NOT WARRANT THAT USE OF THE WEBSITE OR ANY OTHER GRAPEFRUIT HEALTH SERVICE WILL BE UNINTERRUPTED, AVAILABLE AT ANY TIME OR FROM ANY PARTICULAR LOCATION, SECURE OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE WEBSITE IS FREE OF VIRUSES OR OTHER POTENTIALLY HARMFUL COMPONENTS. 

Limitation of Liability 

IN NO EVENT WILL GRAPEFRUIT HEALTH BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, PUNITIVE OR CONSEQUENTIAL DAMAGES (INCLUDING WITHOUT LIMITATION THOSE RESULTING FROM LOST PROFITS, LOST DATA OR BUSINESS INTERRUPTION) ARISING OUT OF THE USE, INABILITY TO USE, OR THE RESULTS OF USE OF THE GRAPEFRUIT SERVICES OR THE WEBSITE, WHETHER SUCH DAMAGES ARE BASED ON WARRANTY, CONTRACT, TORT OR ANY OTHER LEGAL THEORY AND WHETHER OR NOT GRAPEFRUIT HEALTH HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THE AGGREGATE LIABILITY OF GRAPEFRUIT HEALTH, ARISING FROM OR RELATING TO THE WEBSITE OR OTHER GRAPEFRUIT HEALTH SERVICES (REGARDLESS OF THE FORM OF ACTION OR CLAIM, E.G. CONTRACT, WARRANTY, TORT, STRICT LIABILITY, NEGLIGENCE, OR ANY OTHER LEGAL THEORY) IS LIMITED TO $100. GRAPEFRUIT HEALTH'S AFFILIATES, PROVIDERS AND PARTNERS HAVE NO LIABILITY WHATSOEVER ARISING FROM THE WEBSITE OR OTHER GRAPEFRUIT HEALTH SERVICES. In some locations applicable law may not allow certain of the limitations described above, in which case such limitations may not apply to you. 

General 

These Terms and the resolution of any dispute related to these Terms or the Grapefruit Health Services shall be governed by and construed in accordance with the laws of the State of Illinois without respect to its conflict of laws principles. You shall bring any legal action or proceeding against Grapefruit Health related to the Grapefruit Health Services exclusively in a federal or state court of competent jurisdiction sitting in Cook County, Illinois, and you agree to submit to the personal and exclusive jurisdiction of such courts. If any provision(s) of these Terms is found to be contrary to law, then such provision(s) will be construed, as nearly as possible, to reflect the intentions of the parties with the other provisions remaining in full force and effect. Please note that some state laws regarding privacy, security and use of personal information of its residents may not apply to Grapefruit Health.  Grapefruit Health's failure to exercise or enforce any right or provision of these Terms will not constitute a waiver of such right or provision unless acknowledged and agreed to by Grapefruit Health in writing. These Terms constitute the entire agreement between you and Grapefruit Health with respect to the subject matter herein and supersede any and all prior or contemporaneous oral or written agreements. You may not assign these Terms to any other party and any attempt to do so is void. 

Privacy Policy 

Grapefruit Health is committed to maintaining the privacy, integrity and security of any personal information about our users. This Privacy Policy ("Privacy Policy") explains how we protect personal information we collect in connection with your use of the Website and other Grapefruit Health Services and how we use and in some cases disclose that information. "Personal information" for purposes of this Privacy Policy means information that identifies you, such as your name, address, phone number, or email address. 

This Privacy Policy is subject to the provisions our Terms, which are incorporated by reference. 

What Personal Information We Collect

In order to access or use the Grapefruit Health Services, you need to create a user account on the Website (a "User Account"). You can alter and correct any personal information provided by you or generated by the Grapefruit Health Services by logging into your User Account. 

  • When you sign up for a User Account, you are required to provide an email address (which will be used as your login ID), mobile phone number and to create an account password (collectively the "Registration Data").

  • We collect industry standard log data about the browser and operating system you are using, the address of the external or internal page that referred you, your IP address at the time of account creation and keep a log of the pages that you visit on the Website in association with your IP address. 

  • Personal information that you provide to us (including a Student Patient Partner) directly or that we create on your behalf may not be “protected health information” for the purposes of the Health Insurance Portability and Accountability Act (“HIPAA”).  This is because Grapefruit Health is not a “covered entity”, as described in HIPAA. However, if we collect health information from you or about you on behalf of your health care provider or health care system, such information may be “protected health information” because we may be a “business associate”, as described in HIPAA; in that case, we will protect your “protected health information” in accordance with HIPAA and our Privacy Policy.

In addition to the above, if you elect to participate in Career Services as a Job Searcher, we may collect the following information as part of your Student Profile Information:

  • Professional, educational and career related information, including your resume/curriculum vitae if you provide it and the information contained therein

  • Your job search parameters and criteria

  • Your skills, certification(s), and licensure(s)

  • Salary requirements/expectations

  • References

  • Other information, as and if requested in the Student Profile

How We Use Your Personal Information

Grapefruit Health will not use your personal information for purposes other than those listed in this Privacy Policy unless we obtain your consent first. Grapefruit Health uses your personal information to:

  • Provide you with the Grapefruit Health Services;

  • Analyze Website usage and improve the Website and other Grapefruit Health Services;

  • Deliver to you any administrative notices and communications relevant to your use of the Website and/or other Grapefruit Health Services;

  • Provide you with updates regarding Grapefruit Health Services; 

  • Use de-identified data to perform research on program effectiveness;

  • Perform internal research, project planning, troubleshooting problems, and to detect and protect against error, fraud or other criminal activity; and

  • Enforce the Terms. 

In addition to the above, if you are a Job Searcher, we will use your Student Profile Information to provide you with the Career Services.  That means that we use the Student Profile Information to:

  • Provide employers and recruiters with your Student Profile Information, individually or aggregated with similar information of other Job Searchers;

  • Create individual and aggregated profiles, based on keywords, certifications, licensure, and other elements provided in your Student Profile Information, including your resume/curriculum vitae, if provided;

  • Create aggregated analytics for internal use by Grapefruit Health;

  • Create and distribute aggregated analytics for use by employers and/or recruiters;

  • Display some or all of your Student Profile Information, whether individually or aggregated, to provide services to employers/recruiters that are related to the Career Services; and

  • Send you certain emails and/or text messages related to the Career Services and also certain marketing emails and/or texts, including emails and texts which may be generated by automated technologies.  When you provide your email and/or mobile phone number, you consent to receive such emails and/or text messages.  You may opt out of receiving these emails and/or texts messages at any time; receiving marketing emails and/or texts is not a condition of participating in the Career Services, but if you opt out of receiving emails and/or texts related to the Career Services, you acknowledge that you may not be able to fully access or use the Career Services. Even if you opt out of receiving any or all emails and/or texts, we may still use your email address and/or mobile phone number to deliver emails and/or texts related to the maintenance of your account. 

Disclosure to Third Parties

At times Grapefruit Health may make certain personal information available to strategic partners that work with Grapefruit Health to provide services to you. For example, we may share your personal information with: (i) any company or party that may be paying for your use of the Grapefruit Health Services, if applicable; or (ii) your health care provider; or (iii) the health care system associated with your health care provider.  Grapefruit Health may also share your personal information with companies who provide services such as information processing, order fulfillment, product delivery, customer data management, customer research and the like; these companies are obligated to protect your information. 

If you are a Job Searcher, we also disclose your Student Profile Information to employers/recruiters, as described above.  Sharing your Student Profile Information, as described herein, is not and shall not be considered a sale of your information, even if the recipient employer/recruiter compensates Grapefruit Health for its services.

We may also disclose information about you if we determine that disclosure is reasonably necessary to enforce the Terms or protect our operations or users or if we are required to do so by any applicable law, rule, regulation, subpoena or other legal process. Additionally, in the event of a reorganization, merger, or sale we may transfer any and all personal information, including Student Profile Information, we collect to the relevant third party. 

Use of Aggregated Anonymous User Data

We also collect data in a form that does not, on its own, permit direct association with any specific individual. We may collect, use, transfer, and disclose such non-personal information for any purpose. Aggregated data is considered non-personal information and thus is not subject to this Privacy Policy; it is owned exclusively by Grapefruit Health and may be used by Grapefruit Health for any purpose.

Cookies and Other Technology

The Website may use "cookies" and other technologies such as pixel tags and web beacons. Cookies are alphanumeric identifies in the form of text files that are inserted and stored by your Web browser on your computer's hard drive. These technologies tell us which parts of the Website you have visited, limit the number of times you see a Grapefruit Health offer, help us better determine which Grapefruit Health offers you may like to see or to alert you to software compatibility issues. They are also used to analyze and improve the Website’s and other Grapefruit Health Services’ design and functionality. If you choose to delete cookies from your device or block them from being stored on your device, please note that the full functionality of the Grapefruit Health Services may not be available to you. Pixel tags and web beacons are images embedded in the Website for the purpose of measuring and analyzing Website usage and activity. Grapefruit Health, or third party service providers acting on our behalf, may use web beacons to help us analyze Website usage and improve the Website and other Grapefruit Health Services. 

We may use third party service providers to help us analyze certain online activities and improve our products and services. For example, these service providers may help us measure the performance of our online campaigns or analyze visitor activity on Grapefruit Health websites. We may permit these service providers to use cookies and other technologies to perform these services for Grapefruit Health. We do not share any personal information about our customers with these third party service providers, and these service providers do not collect such information on our behalf. Our third party service providers are required to comply fully with this Privacy Policy. 

We may use search and display advertising so you can find opportunities to purchase Grapefruit Health products and retargeting cookies to present you with Grapefruit Health advertising on other sites based on your interaction on our Website. 

We may use social media widgets and plugins so you can use social networking to share items from the Website with your Facebook and Twitter accounts. These interactive mini-programs run on the Website and collect your IP address, which page you are visiting on the Website, and sets a cookie to enable the widget to function properly. Your interactions with these widgets are governed by the privacy policy of the company providing them, not by this Privacy Policy. 

Third Party Products or Services Offered Through the Grapefruit Health Website

There may be separate products and services offered by third parties advertised by us on our Website and through the Grapefruit Health Service that may be complementary to your use of the Grapefruit Health Services (collectively, "Grapefruit Health Offers"). If you choose to use these separate products or services, disclose information to the providers, or grant them permission to collect information about you, then their use of your information is governed by their privacy policies and not this Privacy Policy. You should evaluate the practices of external service providers before deciding to use their services. Grapefruit Health is not responsible for their privacy practices. If you click on a link to a third party site, Grapefruit Health encourages you to check the privacy policy of that site. Grapefruit Health may present links in a format that enables us to keep track of whether these links have been followed and whether any action has been taken on a third party web site. We use this information to improve the quality of the Grapefruit Health Offers and customized content on the Website and other Grapefruit Health Services. 

We will not provide your personal information to third parties offering products or services without your explicit permission.

For the purposes of this Privacy Policy, employers and/or recruiters are not third parties offering products or services.  If you are a Job Searcher, you have provided your explicit consent to our sharing of your Student Profile Information, as described above, solely with respect to the Career Services.  Employers/recruiters who receive your Student Profile Information are required: (a) to use your Student Profile Information only for the purposes of evaluating you for a current or future career opportunity and (b) to protect your Student Profile Information in a manner substantially similar to the manner it protects all personally identifiable information in its systems, but in any event in a commercially reasonable manner. As a Job Searcher, you acknowledge that you are subject to the terms of use and privacy policies of any employers and/or recruiters (and not the Terms or Privacy Policy of Grapefruit Health) with respect to any information you provide directly to these entities.  

Grapefruit Health is not responsible for, and has no control over, the terms, policies, practices or procedures of any third party, including any employer or recruiter.

Contests, Giveaways and Surveys

From time to time, Grapefruit Health may offer you the opportunity to participate in contests, giveaways and other promotions. Any information submitted in connection with such activities will be treated in accordance with this Privacy Policy, except as specifically set forth in the rules for those contests, giveaways or promotions. From time to time, Grapefruit Health may also ask you to participate in surveys designed to help Grapefruit Health improve the Grapefruit Health Services. Any personal information provided to Grapefruit Health in connection with any survey will be used only in relation to that survey and as elsewhere set forth in this Privacy Policy. 

Children

We do not knowingly collect any personal information from children under 18. If we discover that a child under the age of 18 has provided us with personally identifying information, we will take steps to delete the information as soon as possible. 

Data Use Following Termination

Following cancellation or termination of your account, Grapefruit Health may continue to utilize de-identified and anonymized historical data associated with your use of the Grapefruit Health Services. 

Email Communications From Us

We may provide you with summaries and email alerts. We may also allow users to subscribe to email newsletters and from time to time may transmit emails promoting Grapefruit Health or third-party goods or services. Grapefruit Health subscribers have the ability to opt-out of receiving our promotional emails by following the instructions provided in such emails. Opting out in this manner will not end transmission of service-related emails, such as email alerts. 

Data Security

We use a combination of firewall barriers, encryption techniques and authentication procedures, among others, to maintain the security of your data and to protect Grapefruit Health accounts and systems from unauthorized access. When you register for the Grapefruit Health Services, Grapefruit Health requires a password from you for your privacy and security. This password is stored in an encrypted fashion on our systems. Please know that while these are industry-standard methods of data security, there is no fool-proof method of data security and we cannot guarantee that these methods or any other methods will prevent any and all unauthorized access.  It is also important to understand that these precautions apply only to our Website and systems. We exercise no control over how your information is stored, maintained or displayed by third parties or on third party sites. 

Your Responsibility for Maintaining the Confidentiality of Your Login ID and Password

You are responsible for maintaining the security of your login ID and password. If you believe that your login ID or password have been compromised you should immediately change your password and contact support. We are not responsible if someone else accesses your account through registration information they have obtained from you or through a violation by you of this Privacy Policy or the Terms. 

International Data Transfer

Your data is stored in the United States and is subject to United States laws, which may differ from laws of other nations.

State Level Privacy Laws

Some state level laws regarding the privacy, security and use of consumer and/or personal information may not apply to Grapefruit Health.  For instance, the California Consumer Privacy Act (“CCPA”), as modified by the California Privacy Rights Act (“CPRA”), does not currently apply to Grapefruit Health.  

Updates to this Privacy Policy

We may update this Privacy Policy periodically. The date last revised appears at the bottom of the Privacy Policy. Changes take effect immediately upon posting.
